Certification Terms & Conditions

For the purposes of these Certification Terms and Conditions, the terms 'Productiver', 'the Company', 'the Organization' or 'the Productiver Ecosystem' shall refer jointly or indistinctly to JKMV CO, S.A. de C.V., as well as to the legal entity owning the rights, methodologies, industrial secrets, know-how, strategic assets, interpretation systems, operational structures, and other components directly or indirectly related to Productiver, as well as its affiliated, subsidiary, controlling, licensee, assignee entities, corporate vehicles, or structures related to the administration, exploitation, protection, development, or expansion of the Productiver ecosystem.

Likewise, for the purposes of these Terms, the Productiver ecosystem shall comprise the comprehensive set of methodologies, frameworks, strategic architectures, correlation processes, interpretation systems, diagnostic models, dashboards, narrative structures, operational sequences, intervention protocols, platforms, technological tools, certification processes, expansion models, and other intangible assets developed, used, or protected by JKMV CO, S.A. de C.V.

Participation in certification, training, strategic support, facilitation processes, methodological use, or access to the Productiver ecosystem shall have exclusively the character of a limited methodological authorization in accordance with these Terms and Conditions, without implying any employment relationship, association, partnership, joint venture, legal representation, agency, franchise, subordination, mandate, exclusivity, or corporate link between JKMV CO, S.A. de C.V. and the certified person.

Consequently, no certified person may be considered an employee, partner, representative, franchisee, corporate affiliate, or rights holder regarding the Productiver ecosystem or any of its strategic assets, except with express written authorization issued by JKMV CO, S.A. de C.V.

Any certification granted by Productiver shall constitute exclusively a limited, temporal, revocable, non-exclusive, and non-transferable authorization regarding the authorized use of certain methodologies, tools, materials, or systems defined by JKMV CO, S.A. de C.V., without implying organizational incorporation, transfer of rights, sublicensing, official representation, or any authority to act on behalf of Productiver.

The certified person expressly acknowledges that they will act under their own legal, tax, professional, operational, and commercial responsibility regarding the independent activities they perform outside the scope expressly authorized by JKMV CO, S.A. de C.V., binding themselves at all times to avoid conduct, statements, or representations that could generate confusion regarding their relationship with Productiver.

JKMV CO, S.A. de C.V. shall retain at all times the exclusive, discretionary, and revocable power to authorize, deny, limit, condition, suspend, or revoke certifications, methodological accesses, limited use licenses, or any authorization related to the Productiver ecosystem, in accordance with methodological, strategic, ethical, reputational, operational, technological, commercial, or legal protection criteria defined by the organization.

Likewise, JKMV CO, S.A. de C.V. may restrict access levels, segment methodological authorizations, limit the use of tools, modify operational scopes, or cancel certification processes when it reasonably considers that there is a risk of violation of trade secrets, methodological appropriation, generation of derivative structures, improper use of strategic information, reputational impact, unfair competition, conflict of interest, or any situation that could compromise the integrity, confidentiality, or competitive differentiation of the Productiver ecosystem.

Any certification, methodological authorization, or access to the Productiver ecosystem shall be essentially revocable and conditional by nature, and therefore its granting shall not generate acquired rights, legitimate expectation of permanence, operational continuity, exclusivity, corporate affiliation, or any independent exploitation power in favor of the certified person.

Any use of trade names, trademarks, logos, insignia, seals, designs, commercial expressions, graphic elements, visual distinctions, or any other sign directly or indirectly related to Productiver shall require prior, express, and written authorization issued by JKMV CO, S.A. de C.V.

The certification granted by Productiver does not imply a transfer of trademark rights, broad commercial license, transmission of intellectual property, unlimited authorization of exploitation, or any authority to register, sublicense, exploit, or freely use distinctive signs related to Productiver outside the scope expressly authorized by JKMV CO, S.A. de C.V.

Consequently, no certified person may: (1) Claim ownership, title, or co-administration of the Productiver ecosystem; (2) Present themselves as a legal representative, partner, director, corporate affiliate, franchisee, or rights holder related to Productiver; (3) Use logos, distinctive signs, or graphic elements outside of the authorized guidelines; (4) Register trademarks, trade names, domains, social media accounts, or distinctive elements related to Productiver; (5) Use distinctive signs related to Productiver in parallel projects, derivative methodologies, or unauthorized external structures; (6) Make statements, publications, or representations that could generate confusion regarding their level of affiliation, authorization, or corporate relationship with JKMV CO, S.A. de C.V.

The certified person binds themselves to refrain from making statements, publications, promotions, commercial representations, or communications that could generate confusion regarding their relationship with Productiver or appear to have a quality other than that expressly authorized by JKMV CO, S.A. de C.V.

For the interpretation, fulfillment, execution, and resolution of any controversy related to these Terms and Conditions, the parties expressly submit to the applicable federal laws of the United Mexican States and to the jurisdiction of the competent courts of the State of Jalisco, Mexico.

Any policy, term, guideline, protocol, manual, internal framework, methodological document, strategic tool, or instrument related to Productiver may be subject to internal mechanisms of documentary control, classification, traceability, and versioning implemented by JKMV CO, S.A. de C.V.

JKMV CO, S.A. de C.V. may designate internal managers, supervision bodies, methodological committees, strategic protection areas, or document control managers in charge of implementing, supervising, strengthening, and executing protection measures related to Productiver and its strategic assets.

These Terms and Conditions shall be interpreted in a comprehensive, harmonious, and complementary manner with corporate policies, NDAs, confidentiality agreements, internal protocols, methodological guidelines, digital policies, operating manuals, and other instruments implemented by JKMV CO, S.A. de C.V. for the legal, strategic, and operational protection of the Productiver ecosystem.

The electronic, digital, or automated acceptance of these Terms and Conditions shall produce the same legal effects as a handwritten signature, provided that it allows reasonable identification of the corresponding person and evidence of their acceptance.

JKMV CO, S.A. de C.V. may use digital mechanisms, electronic platforms, technological records, identity validations, timestamps, logs, emails, or authentications to accredit acceptance, consent, or use related to Productiver.

Obligations related to confidentiality, methodological protection, trade secrets, restriction of use, non-reproduction, non-exploitation, no reverse engineering, non-generation of derivative structures, reputational protection, and trademark use shall survive even after the termination, suspension, revocation, or conclusion of any certification or relationship related to Productiver.

Certifications, methodological accesses, authorizations of use, and other rights granted under these Terms shall be strictly personal, limited, revocable, and non-transferable, and therefore cannot be assigned, sublicensed, transmitted, shared, or transferred in whole or in part without prior written authorization issued by JKMV CO, S.A. de C.V.
